ARTICLE I: NAMES AND LOCATION

Section 1 |
Name – The name of this non-profit organization shall be
“Mustang Wranglers of Oregon.” |
|
Section 2 |
Meeting
Location – The headquarters of this organization shall be Washington County,
State of Oregon. |
|
|
ARTICLE II:
OBJECTIVE AND LIMITATIONS
|

Section 1 |
General Objectives – To promote the preservation, enjoyment and usage of 64 ˝ to current
Ford Mustangs. Club participation is for the betterment of the community. To sponsor and provide the means of coordinating the work and efforts of all interested persons in the Ford Mustang. Members will trade skills, exchange parts, and assist others in accomplishing the objective of the club. |

Section 2 |
Limitation – This club is not created for profit but solely and exclusively for the enjoyment and betterment of its members and the community in which it functions. Its net income shall not be for the benefit of any individual, and no distribution of its property or income shall be made to any individual or individuals. Upon dissolution, all property will be sold and all monies will be spent. |

ARTICLE III:
FISCAL YEAR

Section 1 |
Fiscal Year – of this organization will be from June 1 to May 31 of each year. |
|
|
ARTICLE IV:
MEMBERSHIP
|
|
Section 1 |
Membership – Any person of good character with an interest in the club objectives shall be eligible for membership. Membership shall include all interested family members residing in a single residence. |
|
Section 2 |
Membership Renewal – Membership renewal shall be automatic upon payment of annual dues. |
|
Section 3 |
Members shall be entitled to receive the club’s monthly newsletter and notice of
club activities. Members shall have the right to a single vote per membership. |
|
Section 4 |
Requirements for membership shall not insist upon the actual possession of a car, merely an interest in the purpose of the club and a desire to take an active part in the club activities. |
|
Section 5 |
The dues, payable by members, shall be in the amount of $20.00 per year per family, paid upon entry to club and shall become due each January 1. Dues for new members will be reduced to a rate of $10.00 on July 1 for the balance of the calendar year. |

Section 6 |
When any member is in default of payment of dues for 90 days, the membership
is automatically terminated. |
|
Section 7 |
A majority of the Board of Directors may permanently expel or suspend any
membership for conduct, which in the opinion of the majority, disturbs the order, dignity or
endangers the welfare of the club. |
|

ARTICLE V: MEETINGS
|
|
Section 1 |
Meeting Time/Location – The regular meeting of the members shall be held on the third Tuesday of each month. The date or location of the regular meeting may be changed at anytime by a decision of the membership. |
|
Section 2 |
Regular Meeting – Regular meetings of the members shall be held monthly for the purpose of transacting and informing membership of upcoming events. |
|
Section 3 |
Special meetings of the members may be called by decision of the Board of Directors. |
|
Section 4 |
The Board shall meet prior to the regular meeting for the purpose of planning the monthly meeting and conducting business. The meeting date will be established by the members of the Board. |
|
Section 5 |
The members present at a monthly meeting shall constitute a quorum. All decision put before the membership shall be settled by a simple majority of those present. |
|

ARTICLE VI:
OFFICERS

|
Section 1 |
The officers of the club shall be elected by a simple majority of the members to serve a term of one calendar year with the exception of the Board Members who will serve a term of 18 months. |
|
Section 2 |
The officers of the club shall be President, Vice President, Secretary/Treasurer or Secretary, Treasurer and three Board members. |
|
Section 3 |
President – The president shall be the principal executive officer of the club and shall in general, supervise and control all of the business and affairs of the club. He/she shall preside at all meetings of the members and Board and shall perform all duties relating to the office of the President. |
|
Section 4 |
Vice President – In the absence of the President, the Vice President shall also have such powers and other duties as prescribed by the President. |
|
Section 5 |
Secretary –The Secretary shall keep minutes of the meetings of the Board of Directors and members, provide the minutes of the member meeting to the newsletter editor for inclusion in the newsletter, see that all notices are duly given in accordance with provisions of these By-Laws and respond to all correspondence as necessary. |

Section 6 |
Treasurer – The Treasurer shall maintain a list of all paid members, shall have charge, custody and responsibility for all funds of the club, and shall maintain record of all receipts and expenses of the club to be reported to the membership at the monthly regular meeting. |

Section 7 |
Board Member – A Board Member shall assist officers in duties in promoting club members and participation. |
|
Section 8 |
The Board of Directors shall consist of President, Vice President, Secretary/Treasurer, or Secretary, Treasurer and three Board Members. |
|
Section 9 |
A simple majority of the Board shall have authority to define events as “official” club activities. |
|

ARTICLE VII:
AMENDMENT TO BY-LAWS

Section 1 |
Recommendations for alternations, amendments or repeal of these By-Laws may be made by any member or Board member. Notice of intent to propose alternations or amendments must be made at least five days prior to the discussion at a regular meeting or Board meeting. These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by a simple majority vote at any regular meeting of the membership. |

ARTICLE VIII:
ORDER

Section 1 |
Order –
Robert’s Rules of Order Revised, shall prevail at all meetings of the club unless these are contrary to these By-Laws, in which case these By-Laws will take precedence. |

ARTICLE IX:
INSURANCE
|
|
Section 1 |
Each member of Mustang Wranglers of Oregon car club will be required to carry liability insurance on their automobile and show proof of such coverage to the Board of Directors if requested. Each member’s vehicle must comply with all state and motor vehicle laws currently in effect. |
